Terms and conditions
DISPO+ terms and conditions
These terms set out the basic rules for enquiries, offers, licence delivery, trials and related DISPO+ communication. DISPO+ is licensed desktop software rather than physical goods sold through a conventional online shop.
1. Scope of supply
Supply may include a DISPO+ software licence, access to a trial, pre-deployment consultation, activation assistance, installation support and other services related to actual product use.
The specific scope is governed by the current website offer, quotation, individual agreement or confirmed correspondence between the provider and the prospective customer.
2. Enquiries, orders and formation of the relationship
Submitting a contact form, trial request or website enquiry primarily initiates sales communication. Submitting a form alone does not automatically conclude a contract or create an entitlement to a particular licence or service.
- The relationship generally begins with a confirmed offer, an agreed licence scope or an individual agreement.
- Before confirmation, the provider may request further details about operations, user numbers, deployment or expected usage.
- For a trial, pilot programme or individual deployment, the provider may select a suitable mode based on capacity and the nature of the project.
3. Prices and payment terms
Prices may appear on the website, in a price list or in an individual quotation, or may be determined after the required scope is clarified. DISPO+ pricing may depend on the licence type, SOLO or TEAM variant, user numbers, accompanying services and deployment method.
Where payment is required, the price and due date are generally stated in the invoice, quotation or confirmed sales correspondence. Unless expressly agreed otherwise, the provider may clarify the offer parameters before final licence confirmation.
4. Licence delivery and activation
Licences and trial access are delivered digitally, typically through activation, a licence key, credentials, a download link or another technical process appropriate to the product version.
- Delivery may require customer cooperation, such as confirming technical environment requirements or user numbers.
- Licence rights may be tied to a device, installation, account, user count or another parameter stated in the offer.
- If the customer does not provide the necessary cooperation, licence delivery or activation may be reasonably delayed.
5. Trial mode
DISPO+ may also be available as a trial. The trial lets customers check whether the product suits their operations. It may be limited in time, functionality or scope.
The provider may modify, restrict or end trial arrangements where required by product development, technical circumstances or commercial settings. A trial need not be automatically available to every prospective customer on identical terms.
6. Updates, support and communication
The product is developed and updated continuously. The provider may fix defects, change features, improve workflows and make other adjustments consistent with product development and user needs.
Support is provided to a reasonable extent according to the licence type, nature of the request and available capacity. Technical support is primarily available by email at podpora@dispoplus.cz, and sales enquiries at obchod@dispoplus.cz.
7. Customer responsibilities
The customer is responsible for accurate and complete information in enquiries, orders, forms and other correspondence. The customer is also responsible for using suitable operating conditions and backing up their data and documents.
- The customer is responsible for the content they store in the system.
- The customer must not distribute the software without authorisation, make it available to third parties or circumvent licence protection.
- Customers using TEAM mode are also responsible for internal user configuration and permissions.
8. Complaints and operational issues
If a customer discovers a technical problem, unexpected application behaviour, activation difficulty or another operational issue, they should describe it without undue delay and send it to podpora@dispoplus.cz. The provider will assess whether it is a defect, a limitation of the version, incorrect use or a need for individual assistance.
Communication and the handling of complaints or incidents reflect the nature of the software. The aim is to identify the next practical step promptly without unnecessary formalities.
9. Limitation of liability
The provider is not liable for damage arising in particular from incorrect software use, incorrect input, third-party outages, incompatible environments, failure to back up data or use contrary to the recommended process. This does not affect the provider's duty to act with professional care and assist with relevant issues where possible.
10. Final provisions
These terms may be updated as the DISPO+ offering, licence arrangements and related services develop. The current version is always published on the website.
For a quotation, deployment consultation or clarification of licence arrangements, contact obchod@dispoplus.cz.
Consumers and digital content
The offering may also be available to consumers. Before a binding order, consumers must receive clear information about the product, compatibility and interoperability, contract duration and termination, delivery, updates and remedies for defects. They must know the final price including all taxes and mandatory charges; recurring supplies must also specify the price per billing period. The contact form alone is not a paid order.
For a distance contract, a consumer generally has the right to withdraw within 14 days of concluding it. For digital content supplied without a tangible medium, the statutory exception applies only if all requirements are met: prior express consent to delivery before the withdrawal period ends, information and acknowledgement of losing the withdrawal right, and the legally required contract confirmation. Accepting the EULA, sending an enquiry or acknowledging privacy information does not replace this separate consent.
Withdrawal may be communicated unambiguously to obchod@dispoplus.cz or the provider's postal address. No reason is required; identify the contract, the customer and the decision to withdraw. Before the relevant contract is concluded, the provider will also supply the legally required instructions and model withdrawal form. Payments following a valid withdrawal are refunded as required by law.
Claims for defective digital content should be made to the provider. Consumers may request a free remedy within a reasonable time and, where statutory conditions are met, a proportionate price reduction or contract termination. These rights cannot be conditional on buying enhanced support. Failure to notice a defect when checking output does not itself cancel a statutory right.
The Czech Trade Inspection Authority is the competent body for out-of-court consumer dispute resolution. Information and procedures are available at Czech Trade Inspection Authority — dispute resolution. You may first seek resolution directly from the provider; access to the courts remains unaffected.
Statutory rights and component licences
These provisions do not restrict mandatory consumer rights or liability that cannot legally be excluded, particularly liability for intent or gross negligence. An obligation to check outputs or maintain backups does not by itself relieve the provider of liability for defects in its performance.
The lawful user's statutory rights remain, including necessary backups, error correction and interoperability to the extent permitted by law. Separate rights under third-party library licences, including open-source licences, take precedence over this licence's restrictions where applicable. A customer licence key is not evidence of the provider's commercial entitlements to included libraries.
Updating these texts does not by itself retrospectively change the agreed price, duration or licence scope. Changes to an existing contract must have a contractual or statutory basis. Necessary updates and defect rights are also governed by law, rather than solely by current support capacity.
